Terms of Service


Effective Date: July 1, 2025

§1. General Provisions

These Terms of Service ("Terms") govern the provision of electronic services via the Momentum online platform ("Platform"), available at www.momentumlist.com, operated by MOMENTUM AI SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ, headquartered in Wilkasy, Poland. Registered under KRS: 0001171902, NIP: 8452007341, REGON: 541679702 ("Operator").

The Platform enables Users to create accounts, present their business, and connect with potential investors. The Terms are available on the Platform and may be downloaded, saved, or printed.

§2. Definitions

Platform – the web application available at www.momentumlist.com.
User – a natural or legal person with a registered account on the Platform.
Professional User – a User acting in a professional capacity (e.g., consultants, advisors, firms).
Services – digital services including account management, investor discovery tools, and company profile creation.
Operator – the owner and service provider of the Platform.
§3. Conditions of Use

Users may access the Platform after account registration, either through a form or using Google OAuth (limited to basic ID data: name and email). Users must provide accurate information. Posting unlawful or harmful content is prohibited.

§4. Services and Subscription Plans

The Platform offers three subscription tiers:

Free – basic, no-cost access
Plus – paid, with additional features
Professional – paid, with full feature access
Detailed plan information is available on the Platform.

§5. Payment Terms

Paid services operate via recurring subscriptions processed by Stripe. Subscriptions auto-renew (monthly or yearly) unless canceled before the billing cycle ends. Payment details are not stored by the Operator. All prices are in EUR.

Business Users may request VAT invoices by contacting support@momentumlist.com within the legal timeframe and with complete data.

§6. Right of Withdrawal

Consumers who agree to begin service before the 14-day withdrawal period waive the right to withdraw (Art. 38(13), Consumer Rights Act). This consent is provided via checkbox during registration.

§7. Limitation of Liability

The Operator is not liable for:

User behavior, including that of Professional Users
Success in acquiring investors or data accuracy
Business or financial outcomes from using the Platform
The Platform provides informational tools, not investment advice. Users act at their own risk. None of the above affects mandatory consumer rights.

§8. Intellectual Property

All Platform content is protected by copyright and owned by the Operator or partners. Reproduction, distribution, or modification without consent is prohibited.

§9. Complaints

Complaints should be submitted via email to support@momentumlist.com and include contact details and a description of the issue. The Operator will acknowledge receipt and respond within 30 days. Users may pursue out-of-court resolution or contact relevant authorities if unsatisfied.

§10. Amendments to the Terms

The Operator may update these Terms for legal or operational reasons. Users will be notified at least 14 days in advance. Continued Platform use constitutes acceptance of the changes.

§11. Termination of Agreement

Users may terminate this agreement anytime by emailing support@momentumlist.com. This results in permanent account deletion. Subscription cancellation does not end the agreement automatically—Users retain access to the Free plan. The Operator may also terminate the agreement with notice for Terms violations.

§12. Professional Users

Professional Users may use the Platform to provide M&A and investor services to clients. They must not:

Share data with third parties without consent
Resell or redistribute Platform data
Export data in bulk without approval
The Operator may verify Professional User status and deny service for violations. It is not liable for their actions toward clients.

§13. Platform Protection and Abuse

Automated access (e.g., bots, scrapers) is prohibited. The Operator may monitor activity and, upon detecting abuse, may:

Temporarily suspend accounts
Limit access
Delete accounts
Report misconduct or seek legal redress
Users will be notified and have 7 days to respond.

§14. Legal Basis and Jurisdiction

Services are provided under applicable laws, including:

Polish Act on Electronic Services
Consumer Rights Act
Data Protection Act
GDPR (EU Regulation 2016/679)
California Consumer Privacy Act (CCPA), where applicable
Local consumer laws may provide additional protections. Disputes are resolved by the court with jurisdiction over the Operator’s headquarters, unless otherwise required by law.

§15. Final Provisions

Polish law governs all matters not addressed in these Terms. Invalid provisions do not affect the remainder. These Terms override conflicting documents. Users must read the current Terms and Privacy Policy before using the Platform.
